Confirmation Statement

All businesses structured as limited companies and limited liability partnerships must file a confirmation statement at Companies House at least once every 12 months, even if the company or partnership is dormant.

The purpose of the confirmation statement is to confirm that all information required to be delivered by the company/partnership to the Companies House in relation to the “confirmation period” either:

(i) has been delivered; or

(ii) is being delivered at the same time as the confirmation statement.

A confirmation statement must be dated within 12 months of the last confirmation statement, and filed no more than 14 days after the end of the relevant 12-month period.

Companies House will send out filing reminders but it is recommended to keep track of when the first and subsequent confirmation statements need to be filed. Provided Companies House have been notified of any changes during the previous 12 months, filing a confirmation statement should not be time consuming.
